Introduction<\/h2><p>New Grasp Academy provides live online English education for children aged 4 to 13 who are learning English as a foreign language.<\/p><p>These Terms govern:<\/p><ul><li><p>use of the Academy\u2019s website;<\/p><\/li><li><p>assessment sessions;<\/p><\/li><li><p>private Core Lessons;<\/p><\/li><li><p>Workshops;<\/p><\/li><li><p>learning platforms;<\/p><\/li><li><p>educational materials;<\/p><\/li><li><p>all other services provided by the Academy.<\/p><\/li><\/ul><p>These Terms must be read together with the:<\/p><ul><li><p>Refund, Subscription and Attendance Policy;<\/p><\/li><li><p>Student Policy;<\/p><\/li><li><p>Privacy Policy;<\/p><\/li><li><p>program details communicated before payment.<\/p><\/li><\/ul><h2>2. Definitions<\/h2><p>For the purposes of these Terms:<\/p><p><strong>Parent<\/strong> means the parent or legal guardian responsible for the Student\u2019s enrolment, payment, communication, attendance, and account.<\/p><p><strong>Student<\/strong> means the child enrolled in an Academy program.<\/p><p><strong>Subscription<\/strong> means an educational program purchased for a fixed duration, such as one month, 3 months, 6 months, or 12 months.<\/p><p><strong>Round<\/strong> means one regular four-week teaching cycle within the Subscription.<\/p><p><strong>Core Lessons<\/strong> means the Student\u2019s scheduled private lessons.<\/p><p><strong>Workshops<\/strong> means group practice sessions included in selected programs.<\/p><p><strong>Used Lesson<\/strong> means a lesson that:<\/p><ul><li><p>has been attended;<\/p><\/li><li><p>has been missed without the required notice;<\/p><\/li><li><p>has been cancelled after the permitted deadline;<\/p><\/li><li><p>has been counted because of a no-show;<\/p><\/li><li><p>has been substantially delivered.<\/p><\/li><\/ul><h2>3. Eligibility<\/h2><p>By using the website or services, the Parent confirms that:<\/p><ul><li><p>they are at least 18 years old;<\/p><\/li><li><p>they have the legal capacity to enter into agreements;<\/p><\/li><li><p>they are the Student\u2019s parent or legal guardian, or are legally authorized to act on the Student\u2019s behalf;<\/p><\/li><li><p>all information provided to the Academy is accurate and complete.<\/p><\/li><\/ul><p>Children are not permitted to independently create, purchase, or manage Academy accounts.<\/p><p>The Parent remains responsible for the Student\u2019s account and use of the services.<\/p><h2>4. Services<\/h2><p>New Grasp Academy may provide:<\/p><ul><li><p>live online English lessons delivered by qualified teachers;<\/p><\/li><li><p>private Core Lessons;<\/p><\/li><li><p>group Workshops;<\/p><\/li><li><p>level-based educational programs;<\/p><\/li><li><p>free or paid assessment sessions;<\/p><\/li><li><p>homework and educational activities;<\/p><\/li><li><p>learning materials;<\/p><\/li><li><p>academic reports and follow-up where included in the program;<\/p><\/li><li><p>access to digital learning platforms.<\/p><\/li><\/ul><p>The exact services included depend on the program purchased.<\/p><p>Not every program includes Workshops, homework, reports, platform access, or additional activities.<\/p><p>The Academy may reasonably update, improve, replace, suspend, or reorganize any part of its services where necessary, while preserving the Student\u2019s paid educational entitlement.<\/p><h2>5. Registration and Account Responsibility<\/h2><p>The Parent must provide accurate, complete, and up-to-date information.<\/p><p>The Parent is responsible for:<\/p><ul><li><p>keeping login details confidential;<\/p><\/li><li><p>supervising the Student\u2019s use of the account;<\/p><\/li><li><p>updating contact information when it changes;<\/p><\/li><li><p>informing the Academy of unauthorized account use;<\/p><\/li><li><p>ensuring that the Student uses only their own account or profile.<\/p><\/li><\/ul><p>An account, Student profile, Subscription, or lesson access may not be shared with another child without the Academy\u2019s written approval.<\/p><p>The Academy may suspend or terminate access in cases of:<\/p><ul><li><p>account sharing;<\/p><\/li><li><p>fraudulent information;<\/p><\/li><li><p>misuse of services;<\/p><\/li><li><p>violation of these Terms;<\/p><\/li><li><p>safeguarding concerns.<\/p><\/li><\/ul><h2>6. Payment<\/h2><p>Subscription fees must be paid in advance through one of the payment methods accepted by the Academy.<\/p><p>Payment confirms the Student\u2019s enrolment in the purchased program.<\/p><p>No lesson may be booked or attended before the required payment has been successfully received, unless the Academy expressly confirms otherwise in writing.<\/p><p>Completing payment constitutes acceptance of:<\/p><ul><li><p>the program details;<\/p><\/li><li><p>the Subscription duration;<\/p><\/li><li><p>the Refund Policy;<\/p><\/li><li><p>the Attendance and Rescheduling Policy;<\/p><\/li><li><p>the Freeze Policy;<\/p><\/li><li><p>these Terms and Conditions.<\/p><\/li><\/ul><p>Prices may be displayed or confirmed in:<\/p><ul><li><p>Egyptian Pounds;<\/p><\/li><li><p>US Dollars;<\/p><\/li><li><p>another currency expressly communicated by the Academy.<\/p><\/li><\/ul><p>The Parent must pay the full confirmed amount in the stated currency.<\/p><p>Bank, PayPal, card, mobile wallet, transfer, or currency-conversion charges may apply according to the payment method used.<\/p><p>In case of late or incomplete payment, the Academy may:<\/p><ul><li><p>suspend services;<\/p><\/li><li><p>release reserved lesson times;<\/p><\/li><li><p>cancel bookings;<\/p><\/li><li><p>delay enrolment confirmation;<\/p><\/li><li><p>terminate the Subscription.<\/p><\/li><\/ul><h2>7. Booking Confirmation<\/h2><p>Lesson times are confirmed only after:<\/p><ul><li><p>payment has been received;<\/p><\/li><li><p>the Parent has selected from the available times;<\/p><\/li><li><p>the Academy has confirmed the booking.<\/p><\/li><\/ul><p>An unconfirmed requested time is not reserved.<\/p><p>The Academy does not guarantee that any requested teacher, day, or time will remain available before final confirmation.<\/p><h2>8. Subscription Start Date<\/h2><p>The Subscription duration starts from the date of the Student\u2019s first confirmed booked Core Lesson.<\/p><p>Once the first Core Lesson has been booked and confirmed, the Subscription starts from that date whether the Student attends the lesson or not.<\/p><p>Payment alone does not start the teaching duration if the first Core Lesson has not yet been booked.<\/p><p>The refund request period is separate from the teaching duration and starts from the date payment is successfully received, in accordance with the Refund Policy.<\/p><h2>9. Subscription Duration and Use of Lessons<\/h2><p>Subscriptions are provided for a fixed period, such as:<\/p><ul><li><p>one month;<\/p><\/li><li><p>3 months;<\/p><\/li><li><p>6 months;<\/p><\/li><li><p>12 months.<\/p><\/li><\/ul><p>Lessons are linked to both:<\/p><ul><li><p>the number of lessons included in the program;<\/p><\/li><li><p>the fixed Subscription duration.<\/p><\/li><\/ul><p>Except for the specific next-Round exceptions stated in these Terms and the Refund Policy, all unused lessons expire at the end of the Subscription period.<\/p><p>Unused lessons cannot normally be:<\/p><ul><li><p>transferred to another Student;<\/p><\/li><li><p>exchanged for cash;<\/p><\/li><li><p>carried into another Subscription;<\/p><\/li><li><p>saved for future use;<\/p><\/li><li><p>used after the Subscription expires.<\/p><\/li><\/ul><p>Failure to attend lessons does not pause or extend the Subscription.<\/p><p>Before the first Core Lesson is booked, the teaching duration has not started. However, delaying the selection of times does not:<\/p><ul><li><p>reserve a teacher indefinitely;<\/p><\/li><li><p>reserve a timetable indefinitely;<\/p><\/li><li><p>extend the refund request period;<\/p><\/li><li><p>guarantee that the requested times will remain available.<\/p><\/li><\/ul><h2>10. Scheduling and Commitment<\/h2><p>Lesson times are selected only from the available times offered by the Academy.<\/p><p>The Parent is responsible for:<\/p><ul><li><p>providing accurate availability;<\/p><\/li><li><p>selecting times promptly;<\/p><\/li><li><p>committing to the confirmed schedule;<\/p><\/li><li><p>checking lesson links and messages;<\/p><\/li><li><p>notifying the Academy of requested changes within the required notice period.<\/p><\/li><\/ul><p>The Academy does not guarantee:<\/p><ul><li><p>every requested day;<\/p><\/li><li><p>every requested time;<\/p><\/li><li><p>a specific teacher;<\/p><\/li><li><p>permanent preservation of the same schedule.<\/p><\/li><\/ul><p>If the Parent rejects suitable available times, the Academy may request wider availability.<\/p><p>Delaying the selection of lesson times does not preserve the requested teacher or schedule.<\/p><p>Once the first Core Lesson has been confirmed, the Subscription continues from the confirmed start date whether the Student attends or not.<\/p><h2>11. Long-Term Subscriptions and Discounts<\/h2><p>Long-term Subscription discounts are offered in return for commitment to the selected duration.<\/p><p>A 3-month, 6-month, or 12-month Subscription is treated as one fixed Subscription and not as separate monthly purchases.<\/p><p>Refund rights and calculations are governed by the Refund Policy and applicable law.<\/p><h2>12. Official Academy Holidays<\/h2><p>If New Grasp Academy announces an official Academy holiday, such as Eid al-Fitr or Eid al-Adha, lessons will pause during the officially announced period.<\/p><p>The Academy will preserve the Student\u2019s paid Core Lesson entitlement by one or more of the following:<\/p><ul><li><p>extending the relevant teaching period;<\/p><\/li><li><p>adjusting Round dates;<\/p><\/li><li><p>rescheduling affected Core Lessons;<\/p><\/li><li><p>providing another equivalent arrangement.<\/p><\/li><\/ul><p>The Student will resume lessons according to the regular schedule or the schedule confirmed by the Academy.<\/p><p>Official Academy holidays do not create an additional right to a refund where the Student\u2019s paid educational entitlement is preserved.<\/p><p>Personal holidays, travel, school examinations, family circumstances, or other circumstances related to the Parent or Student are not official Academy holidays.<\/p><p>They are handled only through the Attendance, Rescheduling, or Freeze provisions.<\/p><h2>13. Refund Policy<\/h2><p>Refund eligibility is governed by the separately published Refund, Subscription and Attendance Policy, which forms part of these Terms.<\/p><p>For the customer\u2019s first paid Subscription, the Parent may submit a refund request within the first <strong>14 calendar days from the payment date<\/strong>.<\/p><p>The refund period:<\/p><ul><li><p>applies only to the customer\u2019s first paid Subscription;<\/p><\/li><li><p>does not apply to renewals;<\/p><\/li><li><p>starts from the payment date;<\/p><\/li><li><p>does not restart when lessons begin;<\/p><\/li><li><p>does not restart when a teacher or schedule is selected;<\/p><\/li><li><p>is not extended because the Parent delays selecting times;<\/p><\/li><li><p>is not extended because the Student does not attend or begin lessons.<\/p><\/li><\/ul><p>If no paid service has been used, the amount paid will be handled in accordance with applicable law and the Refund Policy.<\/p><p>If part of the program has been used, the Academy will deduct the proportionate value of the services actually provided.<\/p><p>After the applicable refund period ends, no refund will normally be provided because the Parent:<\/p><ul><li><p>changed their mind;<\/p><\/li><li><p>delayed the Student\u2019s start;<\/p><\/li><li><p>rejected suitable times;<\/p><\/li><li><p>travelled;<\/p><\/li><li><p>became unavailable;<\/p><\/li><li><p>failed to attend;<\/p><\/li><li><p>did not use all included lessons.<\/p><\/li><\/ul><p>Nothing in this section limits any mandatory consumer right.<\/p><h2>14. Renewals<\/h2><p>A renewal confirms the Parent\u2019s decision to continue the educational service for a new Subscription period.<\/p><p>Renewal is confirmed only after payment is received.<\/p><p>The first-Subscription refund period does not apply to renewals, subject to mandatory applicable law.<\/p><p>If renewal is delayed, the Academy cannot guarantee preservation of the same:<\/p><ul><li><p>teacher;<\/p><\/li><li><p>days;<\/p><\/li><li><p>lesson times;<\/p><\/li><li><p>Workshop schedule.<\/p><\/li><\/ul><p>The Academy may offer the previous times to another Student if renewal is not completed on time.<\/p><h2>15. Attendance<\/h2><p>The Student must attend each lesson at the confirmed time.<\/p><p>A Core Lesson will be counted as used if the Student:<\/p><ul><li><p>does not attend;<\/p><\/li><li><p>cancels less than 8 hours before the lesson;<\/p><\/li><li><p>joins too late for the lesson to be reasonably delivered;<\/p><\/li><li><p>leaves because of a Student-side reason;<\/p><\/li><li><p>cannot continue because of a Student-side technical problem.<\/p><\/li><\/ul><p>A lesson counted as used cannot normally be:<\/p><ul><li><p>refunded;<\/p><\/li><li><p>compensated;<\/p><\/li><li><p>carried forward;<\/p><\/li><li><p>rescheduled.<\/p><\/li><\/ul><p>Joining late does not extend the scheduled lesson end time.<\/p><h2>16. Rescheduling Core Lessons<\/h2><p>Up to two Core Lessons per month may be rescheduled, provided that the Academy receives notice at least 8 hours before the scheduled lesson.<\/p><p>Rescheduling:<\/p><ul><li><p>is subject to teacher and timetable availability;<\/p><\/li><li><p>may involve a substitute teacher;<\/p><\/li><li><p>may involve a different day or time;<\/p><\/li><li><p>normally must be completed within the same Round;<\/p><\/li><li><p>does not normally extend the Subscription;<\/p><\/li><li><p>does not apply to Workshops.<\/p><\/li><\/ul><p>A rescheduled lesson cannot be rescheduled again.<\/p><p>If the Student does not attend the replacement lesson, it will be counted as used and cannot be compensated or rescheduled again.<\/p><p>If the Parent rejects suitable alternative times offered by the Academy, the lesson will expire at the end of the applicable period.<\/p><h2>17. Rescheduling the Eighth Core Lesson<\/h2><p>If the eighth Core Lesson of a Round is validly rescheduled and there is insufficient time to complete it within the same Round, it may be delivered during the immediately following Round.<\/p><p>This exception applies only to the eighth Core Lesson of the Round.<\/p><p>The carried lesson:<\/p><ul><li><p>must be completed during the immediately following Round;<\/p><\/li><li><p>is subject to availability;<\/p><\/li><li><p>may be delivered by a substitute teacher;<\/p><\/li><li><p>does not preserve the previous teacher, day, or time;<\/p><\/li><li><p>cannot be carried into another later Round;<\/p><\/li><li><p>cannot be exchanged for cash;<\/p><\/li><li><p>does not create a separate refund right.<\/p><\/li><\/ul><p>If the Parent rejects suitable alternative times during the following Round, the carried lesson will expire.<\/p><h2>18. Freeze Policy<\/h2><p>A Subscription may be frozen:<\/p><ul><li><p>once during every six-month period;<\/p><\/li><li><p>for a maximum of two consecutive weeks.<\/p><\/li><\/ul><p>The freeze request must:<\/p><ul><li><p>be submitted at least 48 hours before the first affected lesson;<\/p><\/li><li><p>include the requested start and end dates;<\/p><\/li><li><p>be approved by the Academy in writing.<\/p><\/li><\/ul><p>Freeze requests cannot be applied retroactively.<\/p><p>The freeze must be taken as one continuous period and cannot be divided.<\/p><p>Once approved, the freeze dates cannot normally be changed or cancelled.<\/p><p>An approved freeze does not guarantee preservation of:<\/p><ul><li><p>the same teacher;<\/p><\/li><li><p>the same lesson days;<\/p><\/li><li><p>the same lesson times;<\/p><\/li><li><p>the Student\u2019s previous place in the teacher\u2019s timetable.<\/p><\/li><\/ul><p>Stopping lessons without an approved freeze is not considered an official freeze.<\/p><p>If a freeze request is not submitted and approved according to these Terms, the regular Attendance and Rescheduling rules will apply.<\/p><h2>19. Lessons Affected by an Approved Freeze<\/h2><p>Core Lessons affected by an approved freeze will be compensated during the immediately following Round.<\/p><p>The affected Core Lessons:<\/p><ul><li><p>may be delivered at alternative times;<\/p><\/li><li><p>may be delivered by a substitute teacher;<\/p><\/li><li><p>must be completed within the immediately following Round;<\/p><\/li><li><p>cannot be moved into another later Round;<\/p><\/li><li><p>cannot be exchanged for cash;<\/p><\/li><li><p>do not create a separate refund right;<\/p><\/li><li><p>do not guarantee the previous teacher or timetable.<\/p><\/li><\/ul><p>The Parent must cooperate in selecting from the suitable alternative times offered by the Academy.<\/p><p>If the Parent rejects suitable available times or does not respond within the period specified by the Academy, the affected lessons will expire.<\/p><p>Workshops missed during an approved freeze are not individually rescheduled or compensated unless the Academy expressly confirms otherwise in writing.<\/p><p>The freeze cannot be used as an alternative to delaying the start of lessons or extending the Subscription outside the stated conditions.<\/p><h2>20. Trial and Assessment Lessons<\/h2><p>Trial or assessment lessons are provided to:<\/p><ul><li><p>assess the Student\u2019s level;<\/p><\/li><li><p>identify learning needs;<\/p><\/li><li><p>introduce the Academy\u2019s teaching method;<\/p><\/li><li><p>recommend a suitable program.<\/p><\/li><\/ul><p>The assessment teacher is assigned by the Academy.<\/p><p>The Parent cannot guarantee or reserve the same teacher for the paid program unless availability is confirmed in writing.<\/p><p>An assessment does not guarantee:<\/p><ul><li><p>a specific teacher;<\/p><\/li><li><p>a specific time;<\/p><\/li><li><p>immediate program availability;<\/p><\/li><li><p>a specific result within a fixed period.<\/p><\/li><\/ul><p>The Academy may recommend a different level or program after further observation.<\/p><h2>21. Teacher Assignment<\/h2><p>Teachers are assigned according to:<\/p><ul><li><p>the Student\u2019s level;<\/p><\/li><li><p>academic needs;<\/p><\/li><li><p>program type;<\/p><\/li><li><p>schedule;<\/p><\/li><li><p>teacher suitability;<\/p><\/li><li><p>teacher availability;<\/p><\/li><li><p>operational requirements.<\/p><\/li><\/ul><p>The Parent may communicate a teacher preference, but a preference is not guaranteed unless confirmed in writing.<\/p><p>The Academy may change or replace a teacher where reasonably necessary, including for:<\/p><ul><li><p>absence;<\/p><\/li><li><p>schedule changes;<\/p><\/li><li><p>quality improvement;<\/p><\/li><li><p>operational organization;<\/p><\/li><li><p>suitability for the Student;<\/p><\/li><li><p>termination of the teacher\u2019s work with the Academy.<\/p><\/li><\/ul><p>A suitable teacher replacement does not automatically create a right to:<\/p><ul><li><p>cancel the Subscription;<\/p><\/li><li><p>receive a refund;<\/p><\/li><li><p>extend the Subscription.<\/p><\/li><\/ul><h2>22. Core Lessons<\/h2><p>Core Lessons are private lessons delivered according to the selected program.<\/p><p>The duration and frequency of Core Lessons are stated in the program description or enrolment confirmation.<\/p><p>The Parent must ensure that the Student:<\/p><ul><li><p>joins on time;<\/p><\/li><li><p>has the required materials;<\/p><\/li><li><p>uses a suitable device;<\/p><\/li><li><p>has stable internet;<\/p><\/li><li><p>has a working camera and microphone;<\/p><\/li><li><p>follows the teacher\u2019s instructions.<\/p><\/li><\/ul><h2>23. Workshops<\/h2><p>Workshops are group sessions intended for speaking, reading, phonics, interaction, or other language skills.<\/p><p>Workshop teachers, participants, times, content, and group composition may change according to academic and operational requirements.<\/p><p>Workshops:<\/p><ul><li><p>cannot normally be individually rescheduled;<\/p><\/li><li><p>cannot be exchanged for Core Lessons;<\/p><\/li><li><p>cannot be transferred to another Student;<\/p><\/li><li><p>cannot be exchanged for cash;<\/p><\/li><li><p>are counted as used if the Student is absent;<\/p><\/li><li><p>are not individually compensated because of personal absence, travel, school commitments, or an approved freeze.<\/p><\/li><\/ul><p>If the Academy cancels a Workshop and does not provide a replacement or equivalent alternative, the Academy will review the affected entitlement and provide an appropriate remedy.<\/p><h2>24. Academy Cancellation<\/h2><p>If the Academy cancels a Core Lesson, it may:<\/p><ul><li><p>provide a substitute teacher;<\/p><\/li><li><p>offer an alternative time;<\/p><\/li><li><p>reschedule the lesson;<\/p><\/li><li><p>return the lesson to the Student\u2019s available lesson balance.<\/p><\/li><\/ul><p>A teacher\u2019s absence does not automatically cancel the lesson if a suitable substitute is provided.<\/p><p>If the Academy cannot provide the paid service or a reasonable equivalent, it will provide an appropriate remedy in accordance with the Refund Policy and applicable law.<\/p><h2>25. Technical Requirements<\/h2><p>The Parent is responsible for providing:<\/p><ul><li><p>a suitable device;<\/p><\/li><li><p>stable internet;<\/p><\/li><li><p>a working camera and microphone;<\/p><\/li><li><p>access to the required platform;<\/p><\/li><li><p>a suitable learning environment.<\/p><\/li><\/ul><p>Lessons affected by Student-side internet, electricity, device, camera, microphone, password, or software problems are not automatically rescheduled or refunded.<\/p><p>If a verified Academy-side technical problem prevents delivery, the Academy will provide a reasonable replacement or restore the affected lesson.<\/p><h2>26. Complaints<\/h2><p>Any complaint regarding lesson quality or delivery should be submitted within 24 hours after the lesson so the Academy can review the matter promptly.<\/p><p>The Academy may review:<\/p><ul><li><p>attendance records;<\/p><\/li><li><p>teacher notes;<\/p><\/li><li><p>technical records;<\/p><\/li><li><p>relevant communications.<\/p><\/li><\/ul><p>Following review, the Academy may:<\/p><ul><li><p>confirm that the lesson was properly delivered;<\/p><\/li><li><p>provide a replacement lesson;<\/p><\/li><li><p>return the lesson to the Student\u2019s balance;<\/p><\/li><li><p>provide another appropriate remedy.<\/p><\/li><\/ul><p>Submitting a complaint does not automatically guarantee a refund or replacement.<\/p><h2>27. User and Student Conduct<\/h2><p>Respectful behavior must be maintained by the Student, Parent, and legal guardian during lessons and all communications.<\/p><p>The following are prohibited:<\/p><ul><li><p>abusive or threatening behavior;<\/p><\/li><li><p>discriminatory or offensive language;<\/p><\/li><li><p>repeated disruption;<\/p><\/li><li><p>harassment;<\/p><\/li><li><p>inappropriate content;<\/p><\/li><li><p>unauthorized access attempts;<\/p><\/li><li><p>misuse of lesson links;<\/p><\/li><li><p>interference with the learning environment;<\/p><\/li><li><p>unlawful use of the services.<\/p><\/li><\/ul><p>If inappropriate behavior occurs, the Academy may:<\/p><ul><li><p>issue a warning;<\/p><\/li><li><p>stop the lesson;<\/p><\/li><li><p>remove the Student from a Workshop;<\/p><\/li><li><p>suspend access;<\/p><\/li><li><p>terminate the Subscription in serious or repeated cases.<\/p><\/li><\/ul><p>Any financial consequences following termination will be handled according to applicable law and the Refund Policy.<\/p><h2>28. Prohibited Use of Content<\/h2><p>Without written permission from New Grasp Academy, it is prohibited to:<\/p><ul><li><p>record lessons;<\/p><\/li><li><p>take photos or screenshots;<\/p><\/li><li><p>share images or videos of teachers or Students;<\/p><\/li><li><p>distribute lesson links;<\/p><\/li><li><p>publish lesson content;<\/p><\/li><li><p>copy or distribute educational materials;<\/p><\/li><li><p>use Academy content for external teaching or commercial purposes.<\/p><\/li><\/ul><p>Unauthorized recording or publishing may result in:<\/p><ul><li><p>account suspension;<\/p><\/li><li><p>service termination;<\/p><\/li><li><p>legal action where necessary.<\/p><\/li><\/ul><h2>29. Data Protection and Privacy<\/h2><p>The Academy collects and processes personal data according to its Privacy Policy.<\/p><p>By using the services, the Parent agrees to the collection, storage, and use of data as described in the Privacy Policy.<\/p><p>The Parent must provide any legally required consent for the processing of children\u2019s data.<\/p><p>The Academy will not use a Student\u2019s image, voice, or personal information for marketing without the required parental consent.<\/p><h2>30. User Content and Data<\/h2><p>Uploading misleading, unlawful, harmful, or inappropriate content is prohibited.<\/p><p>The Academy may remove violating content without prior notice.<\/p><p>The Parent is responsible for the accuracy and validity of any information or documents submitted.<\/p><h2>31. Intellectual Property<\/h2><p>All content on the website, inside lessons, or within educational materials is owned by New Grasp Academy or its licensors.<\/p><p>This includes:<\/p><ul><li><p>text;<\/p><\/li><li><p>images;<\/p><\/li><li><p>graphics;<\/p><\/li><li><p>presentations;<\/p><\/li><li><p>files;<\/p><\/li><li><p>videos;<\/p><\/li><li><p>designs;<\/p><\/li><li><p>software;<\/p><\/li><li><p>assessments;<\/p><\/li><li><p>learning materials;<\/p><\/li><li><p>program structures.<\/p><\/li><\/ul><p>Purchasing a Subscription grants only a limited personal right to use the materials for the enrolled Student\u2019s private learning.<\/p><p>The materials may not be copied, distributed, republished, sold, modified, or used for external educational or commercial purposes without prior written permission.<\/p><h2>32. Communications<\/h2><p>The Academy may communicate through:<\/p><ul><li><p>email;<\/p><\/li><li><p>WhatsApp;<\/p><\/li><li><p>telephone;<\/p><\/li><li><p>the Academy platform;<\/p><\/li><li><p>website notifications;<\/p><\/li><li><p>other registered contact details.<\/p><\/li><\/ul><p>The Parent is responsible for:<\/p><ul><li><p>providing correct contact details;<\/p><\/li><li><p>checking messages;<\/p><\/li><li><p>updating contact information.<\/p><\/li><\/ul><p>The Academy is not responsible for messages missed because of incorrect details, spam filters, blocked messages, or failure to check communications.<\/p><h2>33. Payment Disputes and Chargebacks<\/h2><p>The Parent should contact the Academy in writing before initiating a payment dispute or chargeback so that the matter can be reviewed.<\/p><p>The Academy may provide the payment provider with:<\/p><ul><li><p>payment records;<\/p><\/li><li><p>attendance records;<\/p><\/li><li><p>enrolment details;<\/p><\/li><li><p>relevant communications;<\/p><\/li><li><p>accepted policies;<\/p><\/li><li><p>records of services delivered.<\/p><\/li><\/ul><p>This does not prevent the Parent from exercising any lawful right to dispute an unauthorized or incorrectly processed payment.<\/p><h2>34. Limitation of Liability<\/h2><p>To the extent permitted by law, New Grasp Academy is not responsible for:<\/p><ul><li><p>indirect or consequential losses;<\/p><\/li><li><p>technical problems on the Student\u2019s side;<\/p><\/li><li><p>weak internet or disconnection;<\/p><\/li><li><p>missed lessons caused by the Parent or Student;<\/p><\/li><li><p>failure to follow instructions;<\/p><\/li><li><p>unauthorized recordings made by Parents or Students;<\/p><\/li><li><p>unauthorized sharing of Student data;<\/p><\/li><li><p>third-party platform failures;<\/p><\/li><li><p>events outside the Academy\u2019s reasonable control.<\/p><\/li><\/ul><p>Although the Academy takes reasonable protective measures, absolute security against unauthorized access cannot be guaranteed.<\/p><p>Where the Academy is legally liable, its total liability will not exceed the amount paid for the affected Subscription, unless applicable law requires otherwise.<\/p><p>Nothing in these Terms excludes liability that cannot legally be excluded.<\/p><h2>35. Suspension and Termination<\/h2><p>The Academy may suspend or terminate services or accounts in cases including:<\/p><ul><li><p>violation of these Terms;<\/p><\/li><li><p>non-payment;<\/p><\/li><li><p>abusive or inappropriate behavior;<\/p><\/li><li><p>account sharing;<\/p><\/li><li><p>fraudulent information;<\/p><\/li><li><p>unauthorized recording;<\/p><\/li><li><p>misuse of content;<\/p><\/li><li><p>unlawful activity;<\/p><\/li><li><p>safeguarding concerns;<\/p><\/li><li><p>misuse of payment systems.<\/p><\/li><\/ul><p>Termination does not remove payment obligations relating to services already provided.<\/p><p>The Parent will be notified where reasonably appropriate.<\/p><h2>37. Force Majeure<\/h2><p>The Academy is not responsible for delays or service disruption caused by events outside its reasonable control, including:<\/p><ul><li><p>natural disasters;<\/p><\/li><li><p>general internet outages;<\/p><\/li><li><p>major power failures;<\/p><\/li><li><p>government actions;<\/p><\/li><li><p>war or civil disturbance;<\/p><\/li><li><p>major technical failures;<\/p><\/li><li><p>national emergencies;<\/p><\/li><li><p>third-party platform-wide failures.<\/p><\/li><\/ul><p>The Academy may provide:<\/p><ul><li><p>a substitute teacher;<\/p><\/li><li><p>an alternative time;<\/p><\/li><li><p>an adjusted schedule;<\/p><\/li><li><p>an extension;<\/p><\/li><li><p>another reasonable arrangement.<\/p><\/li><\/ul><h2>38. Changes to Services<\/h2><p>The Academy may reasonably update:<\/p><ul><li><p>program names;<\/p><\/li><li><p>lesson formats;<\/p><\/li><li><p>schedules;<\/p><\/li><li><p>teachers;<\/p><\/li><li><p>platforms;<\/p><\/li><li><p>Workshop structures;<\/p><\/li><li><p>educational materials;<\/p><\/li><li><p>operational procedures.<\/p><\/li><\/ul><p>Changes will not remove the Student\u2019s paid educational entitlement without an appropriate alternative.<\/p><p>The Academy is not required to continue offering a discontinued program after the current confirmed Subscription ends.<\/p><h2>39. Changes to These Terms<\/h2><p>The Academy may update these Terms for:<\/p><ul><li><p>legal compliance;<\/p><\/li><li><p>policy clarification;<\/p><\/li><li><p>operational requirements;<\/p><\/li><li><p>safeguarding;<\/p><\/li><li><p>service improvement.<\/p><\/li><\/ul><p>The version presented at the time of purchase will normally govern the purchased Subscription unless:<\/p><ul><li><p>a change is required by law;<\/p><\/li><li><p>a change is more favorable to the customer;<\/p><\/li><li><p>the Parent agrees to the updated version.<\/p><\/li><\/ul><p>No change may remove a mandatory consumer right.<\/p><h2>40. Order of Precedence<\/h2><p>These Terms must be read together with the Academy\u2019s other policies.<\/p><p>If there is a conflict:<\/p><ol><li><p>mandatory applicable law will prevail;<\/p><\/li><li><p>program-specific written terms will apply to that program;<\/p><\/li><li><p>the Refund Policy will govern refund calculations;<\/p><\/li><li><p>the Student Policy will govern Student attendance and learning procedures;<\/p><\/li><li><p>these Terms will apply to all remaining matters.<\/p><\/li><\/ol><p>Verbal statements do not override written terms unless confirmed in writing by an authorized Academy representative.<\/p><h2>41. Severability<\/h2><p>If any clause is found to be invalid or unenforceable, the remaining clauses will continue to apply.<\/p><p>The invalid clause will be interpreted or limited only to the extent necessary to make it lawful and enforceable.<\/p><h2>42.
